Introduction
This Supplier Agreement ("Agreement") is entered into between GreenBag Ethiopia ("GreenBag," "we," "our," or "us") and the supplier ("Supplier," "you," or "your") who registers to sell products through the GreenBag Ethiopia marketplace.
By submitting a supplier application and/or listing products on our platform, you agree to be bound by this Agreement, our Terms of Service, and all applicable policies.
To become a supplier on GreenBag Ethiopia, you must:
- Be a legally registered business entity in Ethiopia or have valid authorization to conduct business
- Provide accurate and complete business information during registration
- Have the legal right to sell the products you list
- Maintain valid contact information and respond to communications within 24-48 hours
- Comply with all applicable Ethiopian laws and regulations
- Have a valid Tax Identification Number (TIN) if applicable
Product Listing Guidelines
As a supplier, you agree to:
- Provide accurate, complete, and truthful product descriptions
- Use high-quality images that accurately represent your products
- Set fair and competitive prices
- Maintain accurate inventory levels
- Only list products that you have the legal right to sell
- Ensure all products meet Ethiopian quality and safety standards
- Not list counterfeit, stolen, or prohibited items
- Update product information promptly when changes occur
The following items are strictly prohibited on GreenBag:
- Counterfeit or replica products
- Stolen or illegally obtained goods
- Weapons, ammunition, and explosives
- Illegal drugs and controlled substances
- Products that infringe on intellectual property rights
- Adult content and services
- Hazardous materials without proper certification
- Products recalled for safety reasons
- Items prohibited by Ethiopian law
Suppliers are responsible for:
- Processing orders within 24-48 hours of receipt
- Packaging products securely to prevent damage during transit
- Shipping products within the stated timeframe
- Providing accurate tracking information when available
- Coordinating with GreenBag delivery partners when applicable
- Handling customer inquiries and complaints professionally
- Processing returns and refunds according to our return policy
Failure to meet fulfillment standards may result in penalties, suspension, or termination of your supplier account.
Payment terms for suppliers:
- GreenBag charges a commission on each sale (rate disclosed during onboarding)
- Commission rates may vary by product category
- Payments are processed on a regular schedule (weekly/bi-weekly)
- Minimum payout thresholds may apply
- You are responsible for your own taxes and accounting
- Payment will be made to the bank account provided during registration
Note: Commission rates and payment schedules are subject to change with 30 days notice. Current rates will be communicated during the onboarding process.
To maintain the quality of our marketplace, suppliers must:
- Maintain a minimum customer satisfaction rating
- Keep order defect rate below acceptable thresholds
- Respond to customer messages within 24 hours
- Process refunds promptly when required
- Participate in quality improvement programs when requested
We regularly monitor supplier performance. Accounts that consistently fail to meet quality standards may face restrictions or termination.
By listing products on GreenBag:
- You grant GreenBag a non-exclusive license to use your product images, descriptions, and brand names for marketing purposes
- You warrant that you have the right to sell the products and use all associated intellectual property
- You agree not to infringe on any third-party intellectual property rights
- You will promptly remove any products upon receiving a valid intellectual property complaint
Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of this relationship, including but not limited to:
- Business strategies and plans
- Customer data and purchase history
- Pricing and commission structures
- Sales data and analytics
- Technical information and processes
Termination
This Agreement may be terminated:
- By either party with 30 days written notice
- Immediately by GreenBag if you violate this Agreement or our policies
- Immediately by GreenBag if you engage in fraudulent or illegal activities
- Upon mutual agreement of both parties
Upon termination, you must fulfill all pending orders. Any outstanding payments will be processed according to our standard payment schedule, less any applicable fees or deductions.
GreenBag Ethiopia shall not be liable for:
- Any indirect, incidental, special, or consequential damages
- Loss of profits, revenue, or data
- Damages resulting from force majeure events
- Actions or inactions of third parties, including customers and delivery partners
Our total liability under this Agreement shall not exceed the total commissions earned by GreenBag from your sales in the preceding 12 months.
Indemnification
You agree to indemnify and hold harmless GreenBag Ethiopia, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your breach of this Agreement, your products, your negligence, or your violation of any third-party rights.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Ethiopia. Any disputes arising under this Agreement shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the courts of Ethiopia.
Modifications to Agreement
GreenBag reserves the right to modify this Agreement at any time. We will provide at least 30 days notice of material changes via email or through the supplier dashboard. Continued use of the platform after changes take effect constitutes acceptance of the modified Agreement.
